Liquidating a company, whether voluntarily by partner decision or judicially by court order, is a precise statutory procedure with time-bound stages, not simply stopping activity and closing a bank account. Overlooking any of these stages can leave partners or directors personally exposed to liability for obligations never properly settled, even after they believe the company has effectively "ended."
The extraordinary general assembly (for joint-stock companies) or the partners' assembly (for LLCs) decides on liquidation and appoints one or more liquidators, setting their authority, fees, and the liquidation period, which may not exceed three years except by order of the competent judicial authority. Once a liquidator is appointed, the board or directors' authority ends immediately, while oversight committees remain active until the task is fully complete.
After announcing the liquidation decision in the official gazette and on the Ministry of Commerce website, the liquidator begins inventorying the company's assets and liabilities (usually two to three months), then collecting debts and selling assets at market value (an additional three to six months), settling debts per a strict priority order starting with state dues (taxes, social insurance) before distributing any surplus to partners. The commercial registration can't be permanently closed until obtaining a deregistration certificate from the Zakat, Tax and Customs Authority confirming all dues are settled.
The liquidator is personally liable for any harm to the company, partners, or third parties resulting from exceeding their authority or errors in performing their duties, and this liability is joint among multiple liquidators if the decision was unanimous, unless each has the right to act independently. Choosing a liquidator with genuine legal and accounting expertise, not just a partner without sufficient experience, protects everyone from later risk.
